PLEASE READ THESE TERMS AND CONDITIONS ("TERMS") CAREFULLY BEFORE ACCESSING OR USING THE PROP-IRR.COM PLATFORM. BY REGISTERING FOR AN ACCOUNT, ACCESSING THE PLATFORM, OR USING ANY OF ITS FEATURES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.

1. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Prop-IRR.com, operated by Famplanr LLC, a limited liability company registered in Sharjah Media City Free Zone, Sharjah, United Arab Emirates ("Company," "we," "us," or "our"), governing your access to and use of the Prop-IRR.com web application and all related services, content, features, and functionality (collectively, the "Platform").

Prop-IRR.com is a trading name and web application operated by Famplanr LLC. Famplanr LLC is the sole legal contracting party under these Terms. The domain prop-irr.com is owned and operated exclusively by Famplanr LLC.

By (a) completing the registration process, (b) clicking any "I Agree," "Sign Up," or similar acceptance button, or (c) otherwise accessing or using the Platform, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms.

2. ELIGIBILITY / AGE REQUIREMENTS

You may use the Platform only if you meet all of the following eligibility requirements:

You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
You have full legal capacity to enter into binding contracts under the laws applicable to you.
You are not prohibited from using the Platform under any applicable law, regulation, or court order.
You are not a resident of any country subject to a comprehensive trade embargo or sanctions by the UAE, the United Nations Security Council, or any applicable international sanctions regime.

The Platform is intended for individual investors and real estate professionals. We do not knowingly permit individuals under the age of 18 to register. If we become aware that a user is under 18, we will immediately suspend and permanently delete that account.

3. ACCOUNT REGISTRATION & RESPONSIBILITIES

3.1 Account Creation

To access the full functionality of the Platform, you must register an account by providing accurate, current, and complete information including your full name, email address, and a secure password. You must verify your email address via a one-time password (OTP) before your account becomes active.

3.2 Account Security

You are solely responsible for:

Maintaining the confidentiality and security of your login credentials.
All activities, actions, and transactions that occur under your account.
Promptly notifying us at support@prop-irr.com if you suspect any unauthorized access to or use of your account.

We will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 Accurate Information

You agree to maintain and promptly update your account information to ensure it remains accurate, current, and complete. We reserve the right to suspend or terminate accounts where information is found to be false, misleading, or outdated.

3.4 One Account Per User

You may only maintain one registered account. Creating multiple accounts to circumvent subscription limits, exploit free trial offers, or avoid account restrictions is strictly prohibited and constitutes grounds for immediate termination without refund.

4. DESCRIPTION OF SERVICES

Prop-IRR.com is a web-based financial analysis platform designed for individual real estate investors and agents. The Platform enables users to:

Input details for one or more real estate investment projects, including payment schedules and installment plans.
Define and model exit strategies, including resale scenarios and hold-to-lease arrangements.
Automatically calculate Internal Rate of Return (IRR) using a date-based XIRR methodology equivalent to Microsoft Excel's XIRR() function, and generate cashflow summaries.
Compare multiple investment projects side-by-side using key financial metrics including IRR, ROI, net cash profit, and total cash flows.
Manage subscriptions, billing, and account preferences.

The Platform is offered under tiered subscription plans — Investor, Pro Investor, and Agent — with varying project capacity limits. A free trial is available to first-time users for the duration displayed on the pricing page at prop-irr.com/pricing, subject to the conditions described in Section 9.

ALL FINANCIAL CALCULATIONS, INCLUDING IRR RESULTS, ARE PROVIDED FOR INFORMATIONAL AND ANALYTICAL PURPOSES ONLY. THEY DO NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. THE COMPANY IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL INSTITUTION. USERS RELY ON PLATFORM OUTPUTS ENTIRELY AT THEIR OWN RISK AND SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY INVESTMENT DECISION.

5. USER OBLIGATIONS & PROHIBITED CONDUCT

5.1 Permitted Use

You agree to use the Platform solely for lawful purposes and in accordance with these Terms, limited to your own personal or professional real estate investment analysis activities.

5.2 Prohibited Conduct

You must not, and must not attempt to:

Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
Submit false, inaccurate, or misleading data for the purpose of generating deceptive financial projections.
Circumvent, disable, or otherwise interfere with any security or access-control feature of the Platform.
Attempt to gain unauthorized access to any part of the Platform, its servers, databases, or connected systems.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform, including the IRR calculation engine.
Use automated tools (bots, scrapers, crawlers) to access, monitor, or copy any part of the Platform without our prior written consent.
Upload or transmit any viruses, malware, or other harmful code.
Reproduce, duplicate, sell, or exploit any portion of the Platform or its content for commercial purposes without our express written authorization.
Create multiple accounts to circumvent subscription limits or free trial restrictions.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5.3 Consequences of Violation

Any violation of this Section may result in immediate suspension or termination of your account, forfeiture of any prepaid subscription fees, and may expose you to civil or criminal liability. We reserve all rights to pursue available legal remedies.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Company Ownership

The Platform and all of its content, features, and functionality — including but not limited to software, source code, algorithms, text, graphics, user interface design, logos, trademarks, and the IRR calculation engine — are owned by Famplanr LLC or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes described in these Terms.

6.2 Restrictions

You must not copy, modify, distribute, sell, sublicence, or create derivative works from any part of the Platform without our prior written consent. Any unauthorized use terminates the licence granted to you.

6.3 Feedback

If you submit ideas, suggestions, or feedback regarding the Platform, you grant Famplanr LLC a worldwide, royalty-free, irrevocable, perpetual licence to use, reproduce, modify, and incorporate such feedback into the Platform without compensation or attribution.

7. USER-GENERATED CONTENT

The Platform is a private analytical tool. Project data, financial inputs, and cashflow configurations you enter are stored in your account and are not published publicly or shared with other users.

By entering data into the Platform, you:

Represent and warrant that you have all necessary rights to input such data, and that it does not violate any applicable law, regulation, or third-party rights.
Grant us a limited licence to store, process, and display your data solely for the purpose of providing the Platform's services to you.
Acknowledge that we do not verify or validate the accuracy of data you input, and that IRR results are only as accurate as the data you provide.

Famplanr LLC does not claim ownership of your project data. De-identified and aggregated data derived from user interactions may be used to improve the Platform, subject to our Privacy Policy.

8. PAYMENT TERMS, BILLING & REFUNDS

8.1 Subscription Fees

Access to the Platform beyond the free trial requires a subscription fee, charged in advance for the selected billing cycle (monthly or annual). All fees are stated in AED unless otherwise specified and are displayed on the pricing page at the time of purchase.

8.2 Billing & Automatic Renewal

By providing payment information, you authorise us to charge your payment method via Stripe for all applicable subscription fees on a recurring basis. Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with Section 9.

8.3 Promo Codes

Promo codes are subject to the following conditions:

Each promo code may only be used once per user account.
Multiple promo codes cannot be applied simultaneously.
Promo codes applied during a free trial period will have their discount applied to the first paid billing cycle only.
Promo codes are non-transferable and have no cash value.
We reserve the right to cancel or modify promotional offers at any time.

8.4 Upgrades and Downgrades

Upgrading your subscription takes effect immediately; you will be charged a prorated amount for the remainder of the current billing cycle. Downgrading takes effect at the start of the next billing cycle; no prorated refunds will be issued for unused portions of the current cycle.

8.5 Failed Payments

If a payment fails, you will be notified and given an opportunity to update your payment information. During a payment failure period, access is restricted to your profile and billing settings only; project dashboard and creation features are suspended until payment is resolved.

8.6 Refund Policy

All subscription fees are non-refundable except as expressly required by applicable UAE law. We do not offer refunds for partial months of service, unused features, or cancellations made mid-billing cycle. Billing disputes must be raised within 30 days of the charge by contacting us at support@prop-irr.com.

9. SUBSCRIPTION & CANCELLATION POLICY

9.1 Free Trial

New users are eligible for a free trial upon selecting a subscription plan. The duration of the free trial is as displayed on the pricing page at prop-irr.com/pricing at the time of registration and may be updated by us from time to time at our sole discretion. The free trial is limited to one trial per email address and is not extendable. A valid payment method must be provided at the start of the trial. If you do not cancel before the trial period ends, your payment method will be charged at the applicable subscription rate automatically.

9.2 Cancellation

You may cancel your subscription at any time through the Subscriptions section of your account. Upon cancellation:

Your access continues until the end of the current paid billing period.
No further charges will be made after the current billing period ends.
Your project data remains accessible until the billing period expires. Data deletion timelines are described in our Privacy Policy.

9.3 Project Limits by Plan

Active project limits are enforced per subscription plan: Investor Plan (10 active projects), Pro Investor Plan (30 active projects), Agent Plan (unlimited). Draft projects count toward these limits. Deleted projects are excluded. If you downgrade to a plan with a lower limit, you must reduce your active project count before the downgrade takes effect.

9.4 Termination by Company

We reserve the right to suspend or terminate your subscription for breach of these Terms, non-payment, or fraudulent activity. Termination for cause carries no entitlement to a refund.

10. THIRD-PARTY LINKS & INTEGRATIONS

The Platform integrates with the following third-party service providers. Your use of these services is subject to their respective terms and privacy policies:

Stripe (stripe.com) — Payment processing and subscription management
Vercel (vercel.com) — Frontend hosting
Render (render.com) — Backend application hosting
Neon (neon.tech) — PostgreSQL database hosting
Cloudflare (cloudflare.com) — Domain DNS and traffic routing
Resend (resend.com) — Transactional email delivery
UptimeRobot (uptimerobot.com) — Platform availability monitoring

We are not responsible for the practices, policies, content, or availability of any third-party services. We encourage you to review the terms and privacy policies of each provider. The Platform may also contain links to external websites provided for convenience only; we do not endorse or accept responsibility for their content.

11. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement.
Warranties that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Warranties as to the accuracy, completeness, or reliability of any financial calculations, IRR results, or other outputs generated by the Platform.

WE EXPRESSLY DISCLAIM ANY WARRANTY THAT THE PLATFORM CONSTITUTES INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE. IRR CALCULATIONS ARE MATHEMATICAL ESTIMATES BASED ENTIRELY ON USER-PROVIDED DATA AND DO NOT GUARANTEE ACTUAL INVESTMENT RETURNS.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UAE LAW, IN NO EVENT SHALL FAMPLANR LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

Any indirect, incidental, special, consequential, exemplary, or punitive damages.
Any loss of profit, revenue, data, business, goodwill, or anticipated savings.
Any financial loss arising from reliance on IRR calculations or other Platform outputs.
Any loss resulting from unauthorized access to or alteration of your data.
Any loss arising from third-party service failures, including payment processor or hosting provider downtime.

IN ALL CASES, FAMPLANR LLC'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) AED 1,000.

These limitations apply whether the claim is based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Famplanr LLC and its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your breach of these Terms or any applicable law or regulation.
Your use or misuse of the Platform.
Any data you submit to the Platform, including any claim that such data infringes a third party's rights.
Your reliance on financial calculations or outputs generated by the Platform for any investment decision.
Any transaction or dispute between you and a third party.

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE Federal Law), without regard to its conflict of law principles.

Famplanr LLC is registered in Sharjah Media City Free Zone (Shams), Sharjah, UAE. As a Shams free zone entity, Famplanr LLC operates under UAE Federal Law for the purposes of contractual obligations, data protection, and consumer rights.

Subject to the dispute resolution provisions in Section 15, any legal proceedings not submitted to arbitration shall be subject to the non-exclusive jurisdiction of the competent courts of the United Arab Emirates.

15. DISPUTE RESOLUTION / ARBITRATION

We encourage you to contact us first at support@prop-irr.com to resolve any dispute informally. We will use reasonable efforts to resolve concerns within 30 days of receiving written notice.

If a dispute cannot be resolved informally, both parties agree that any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall be finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under the DIAC Arbitration Rules in force at the time of the dispute. The seat of arbitration shall be Dubai, United Arab Emirates. The language of proceedings shall be English. The number of arbitrators shall be one (1) for disputes with a value below AED 500,000 and three (3) for disputes above that threshold.

Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

CLASS ACTION WAIVER: To the fullest extent permitted by applicable law, you and the Company agree that each may bring claims against the other only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. MODIFICATIONS TO THE TERMS

We reserve the right to modify these Terms at any time. For material changes, we will:

Post the updated Terms on the Platform with a revised "Effective Date."
Notify you by email to your registered address at least 14 days before material changes take effect.

Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Platform and cancel your subscription before the changes take effect.

17. TERMINATION OF ACCOUNTS

17.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through the Profile Management section. Account deletion is permanent and irreversible. All project data will be permanently deleted in accordance with our Privacy Policy.

17.2 Termination by Us

We may suspend or terminate your access immediately and without prior notice if:

You breach any provision of these Terms.
We are required to do so by applicable law or a regulatory authority.
Your account is subject to repeated payment failures.
We cease to operate the Platform.

17.3 Effect of Termination

Upon termination: (a) your licence to use the Platform immediately ceases; (b) prepaid fees are non-refundable except as required by UAE law; (c) Sections 6, 11, 12, 13, 14, and 15 survive termination indefinitely.

18. SEVERABILITY & ENTIRE AGREEMENT

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent authority, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements and understandings, whether oral or written.

No waiver by us of any term shall be deemed a further or continuing waiver of such term or any other term. Failure to assert a right or provision shall not constitute a waiver of that right or provision.
